FinCEN BOI Reporting Requirements End for U.S. Companies
The FinCEN BOI reporting requirements have permanently ended for U.S. companies and U.S. persons under the final rule effective August 14, 2026. FinCEN has finalized a major change to the Corporate Transparency Act’s Beneficial Ownership Information reporting requirements. Under a final rule effective August 14, 2026, U.S. companies and U.S. persons are permanently exempt from the federal BOI reporting requirements addressed by the rule.
The final rule makes permanent exemptions that had previously been introduced on an interim basis. FinCEN also announced that it intends to remove previously submitted information concerning U.S. persons who are now exempt.
For many American small businesses, this substantially reduces the compliance burden surrounding beneficial ownership reporting.
However, the change does not eliminate BOI reporting in every situation. Certain foreign entities registered to conduct business in the United States continue to have reporting obligations, particularly regarding foreign beneficial owners.
Business owners should therefore avoid assuming that every entity is automatically exempt. Entity formation, ownership structure, and whether the company is domestic or foreign can still affect reporting obligations.
